1. Introduction

1.1 About These Terms

Welcome to Bullfrog (“we,” “us,” or “our”), a cosmetics brand operating in the Kingdom of Saudi Arabia and across the Gulf Cooperation Council (GCC) region. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer,” “User,” or “you”) and Faiiariyadh, governing your access to and use of our website at www.bullfroggcc.com (the “Platform”) and all services, features, and products offered through it.

By visiting our Platform, creating an account, adding items to your cart, or completing a purchase, you acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must immediately discontinue your use of the Platform and refrain from placing any orders.

1.2 Scope of Agreement

These Terms apply to all interactions you have with Bullfrog through the Platform, including but not limited to:

• Browsing product listings and content on the Platform.
• Registering for or managing a user account.
• Placing, modifying, or cancelling orders for cosmetics products.
• Making payments through the Platform.

• Participating in promotions, offers, or loyalty programmes.

1.3 Country of Domicile & Applicable Law

The Kingdom of Saudi Arabia (KSA) is our country of domicile. These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, including but not limited to the Electronic Commerce Law (Royal Decree No. M/126 of 2019), the Consumer Protection Law (Royal Decree No. M/25 of 2022 and its Executive Regulations), and the E-Commerce Regulations issued by the Ministry of Commerce. For customers in other GCC countries, local consumer protection laws and e-commerce regulations of the respective country may also apply where mandated by law.

1.4 Sanctioned Countries

Faiialriyadh will not trade with or provide any services to any individual, entity, or country that is subject to sanctions administered or enforced by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury, the United Nations Security Council, the European Union, or any other applicable sanctions authority. By using this Platform, you represent and warrant that you are not located in, organised under the laws of, or a national or resident of any OFAC-sanctioned or otherwise internationally sanctioned country. We reserve the right to cancel any order and terminate any account where we have reason to believe this condition is not met.

1.5 Amendments

Faiialriyadh reserves the right to amend, update, or replace these Terms at any time. Any changes will take effect upon posting to the Platform with an updated effective date. It is your responsibility to review these Terms periodically. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. We will endeavour to notify registered users of material changes via email where practicable.

1.6 Language

These Terms are provided in the English language. In the event of any conflict between an English version and any translated version, the English version shall prevail to the fullest extent permitted by applicable law.

2. Distributor & Brand Relationship

2.1 Authorised GCC Distributor

(www.bullfroggcc.com) is operated by Faiialriyadh, the exclusive authorised distributor of the Bullfrog brand across the Gulf Cooperation Council (GCC) region, including the Kingdom of Saudi Arabia, the United Arab Emirates, the State of Kuwait, the Kingdom of Bahrain, the State of Qatar, and the Sultanate of Oman.

Faiialriyadh operates under a formal distribution agreement with the Bullfrog brand and is solely responsible for the marketing, sale, fulfilment, and after-sales service of Bullfrog products within the GCC region through the Platform.

2.2 Relationship Between the Parties

For the avoidance of doubt, when you purchase a Product through www.bullfroggcc.com, your contractual relationship is exclusively with Faiialriyadh as the authorised GCC distributor and operator of the Platform. The Bullfrog brand owner (manufacturer or international brand principal) is not a party to the purchase contract formed between you and Faiialriyadh, and assumes no direct liability to you in connection with orders placed through the Platform.

All customer service inquiries, order disputes, returns, refunds, and warranty claims related to purchases made on the Platform must be directed to Faiialriyadh through the contact channels available at www.bullfroggcc.com, and not to the Bullfrog brand owner directly.

2.3 Authenticity & Authorised Products

As the exclusive authorised GCC distributor, Faiialriyadh guarantees that all Bullfrog products sold through the Platform are genuine, authentic, and sourced directly through official brand channels. Customers are advised to purchase Bullfrog products only through www.bullfroggcc.com or other officially authorised channels to ensure product authenticity, regulatory compliance, and eligibility for returns and after-sales support.

2.4 Distribution Territory

The distribution rights held by Faiialriyadh cover the GCC region exclusively. Orders placed through the Platform for delivery outside the GCC member states may be refused or subject to additional terms. Faiialriyadh reserves the right to decline orders that fall outside the authorised distribution territory.

2.5 Brand Intellectual Property

The Bullfrog brand name, logo, trademarks, and all associated intellectual property remain the property of the Bullfrog brand owner. Faiialriyadh’s use of the Bullfrog brand on the Platform is authorised under the distribution agreement and does not constitute a transfer of any intellectual property rights to customers.

3. Eligibility

3.1 Age Requirement

Our Platform is intended solely for individuals who are 18 years of age or older. Minors under the age of 18 are strictly prohibited from registering an account, placing orders, or completing any transaction on the Platform. This requirement is consistent with the legal age of contractual capacity under Saudi Arabian law and the consumer protection frameworks of the GCC member states. We reserve the right to verify user age and to suspend or terminate any account where there is reasonable suspicion of underage use.

3.2 Legal Capacity

By using this Platform, you confirm that you possess full legal capacity and authority to enter into a binding contractual agreement under the laws applicable to you. If you are acting on behalf of a company or legal entity, you represent that you are duly authorised to bind that entity to these Terms.

3.3 Geographic Eligibility

Our services are currently available to customers located in or shipping to: the Kingdom of Saudi Arabia, the United Arab Emirates, the State of Kuwait, the Kingdom of Bahrain, the State of Qatar, and the Sultanate of Oman. We reserve the right to restrict access or refuse orders from any other region at our sole discretion.

3.4 Account Accuracy & Transaction Records

You agree to provide accurate, truthful, and complete information when registering or placing an order. Cardholders and customers are responsible for retaining copies of all transaction records, order confirmations, and receipts issued in connection with purchases made on the Platform, and for complying with all applicable merchant policies set out in these Terms. Such records may be required in the event of a dispute, chargeback, or return request.

3.5 Compliance with Laws

You are solely responsible for ensuring that your use of the Platform complies with all applicable laws and regulations in your country or region of residence.

4. Products & Descriptions

4.1 Nature of Products

Bullfrog(GCC) specialises in the sale of cosmetics and beauty products, including but not limited to skincare, fragrances, and personal care items (collectively, “Products”). All Products are physical goods for personal use, subject to applicable health and safety regulations overseen by the Saudi Food and Drug Authority (SFDA) and relevant GCC regulatory bodies.

It is the customer’s responsibility to review product ingredient lists, usage instructions, and applicable warnings prior to purchase, particularly if you have known skin sensitivities, allergies, or medical conditions.

4.2 Product Descriptions & Accuracy

We make every reasonable effort to ensure product information is accurate. However:

• Color representation: Shades may vary due to screen display settings and do not constitute a defect.
• Descriptions: Provided for informational purposes only; may contain typographical errors.
• Availability: Listings do not guarantee stock. If unavailable after order, we will notify you and offer a remedy.
• Ingredients: Formulations may change; customers with sensitivities should verify before purchasing.

4.3 Regulatory Compliance

All products are intended to comply with Saudi SFDA cosmetics regulations and the GCC Technical Regulation for Cosmetics Products issued by the Gulf Standards Organisation (GSO). Products are not intended to diagnose, treat, cure, or prevent any medical condition.

4.4 Permitted Use

All Products are for personal, non-commercial use only. Resale or redistribution without our prior written consent is strictly prohibited.

4.5 Product Modifications & Discontinuation

We reserve the right to modify, update, discontinue, or remove any Products at any time without prior notice or liability.

5. Orders & Acceptance

5.1 Placing an Order

When you complete the checkout process, you are submitting a formal offer to purchase. A binding contract is formed only when we send you an Order Confirmation email. This confirmation will include your order number, items purchased, total price including VAT, and estimated delivery timeline.

Please review your Order Confirmation carefully. If you notice any errors, contact our customer support team at www.bullfroggcc.com within 24 hours.

5.2 Order Cancellation by Bullfroggcc

We reserve the right to cancel or refuse any order if: the product is unavailable; payment cannot be processed; a pricing error exists; the order appears fraudulent; it violates these Terms; or the delivery address is outside our shipping regions. You will be notified and refunded promptly in such cases.

5.3 Order Cancellation by Customer

You may cancel an order at no charge if you contact us within 12 hours of placing it and before it has been dispatched. Once dispatched, cancellation is not possible and our standard returns policy (Section 9) applies. Cancellation requests must be submitted via www.bullfroggcc.com.

5.4 Consumer Protection Rights

Nothing in this section limits your statutory rights as a consumer under the Consumer Protection Law of Saudi Arabia (Royal Decree No. M/25 of 2022) or equivalent GCC consumer protection legislation.

6. Pricing & Taxes

6.1 Displayed Prices & Transaction Currency

All product prices on the Platform are quoted in Saudi Riyals (SAR) as the primary transaction currency, inclusive of applicable taxes. Prices in other GCC currencies may be displayed for convenience but SAR is the currency in which transactions are processed unless otherwise stated at checkout. In the event of a pricing error, we reserve the right to correct it and cancel the affected order if necessary.

6.2 Value Added Tax (VAT) — Saudi Arabia

Faiialriyadh is a VAT-registered business in the Kingdom of Saudi Arabia, compliant with the VAT Law (Royal Decree No. M/113, 1438H) administered by ZATCA. All prices for KSA orders are inclusive of 15% VAT. A VAT-compliant tax invoice will be issued for every purchase, per Article 53 of the VAT Implementing Regulations, detailing the VAT amount and our VAT registration number.

6.3 GCC Cross-Border Orders

For orders shipped to other GCC countries, applicable local taxes, import duties, and customs fees are the sole responsibility of the customer. Faiialriyadh does not collect or remit taxes outside Saudi Arabia.

6.4 Price Changes & Promotions

Prices may change at any time without notice but will not affect already-confirmed orders. Promotional prices and discount codes cannot be applied retroactively, are subject to their own terms, and may be withdrawn at any time without liability.

7. Payments

7.1 Accepted Payment Methods & Cards

We accept the following payment methods on our Platform, with all transactions processed in Saudi Riyals (SAR):

• Credit and debit cards: Visa and Mastercard (internationally accepted card schemes) and Mada (Saudi national payment network).
• Apple Pay
• Tabby
• Other payment methods as may be offered from time to time and displayed at checkout.

The Visa and Mastercard logos are displayed on our website in accordance with card scheme requirements. By proceeding with payment, you confirm acceptance of these Terms and the applicable card scheme rules.

7.2 Payment Security & Card Data

All payment transactions are processed through secure, PCI-DSS compliant, encrypted payment gateways. Faiialriyadh does not store, retain, or have access to your full card number, CVV, or other sensitive payment credentials on our servers. Card details are handled exclusively by our authorised payment processing partners and will not be passed to any third party other than as required to complete your transaction.

7.3 Payment Confirmation

Upon successful payment, you will receive a payment confirmation via email to the address registered on your account, typically within a few minutes of completing your transaction. If you do not receive a confirmation within 24 hours, please contact our support team at www.bullfroggcc.com. An SMS notification may also be sent where you have provided a valid mobile number.

7.4 Failed or Disputed Payments

In the event of a failed or disputed payment, we reserve the right to suspend or cancel your order until the matter is resolved. You are responsible for ensuring sufficient funds and valid payment details are available at the time of purchase.

8. Shipping & Delivery

8.1 Shipping Regions

We provide international express shipping services to GCC countries (United Arab Emirates, Bahrain, Kuwait, Oman, and Qatar) through our logistics partner DRB Logistics Solutions Company. Shipments originate from Saudi Arabia (Riyadh, Jeddah, Dammam, Khobar, and Al Ahsa).

8.2 Shipping Process & Conditions

All orders will be processed within 1-2 business days of order confirmation. Once your order has been dispatched, you will receive a shipping confirmation email with tracking details. You are responsible for providing a full and accurate recipient address. In the event of incorrect or insufficient information, we shall not be held liable for delays or non-delivery.

Incomplete addresses that require manual intervention will attract a surcharge. We reserve the right to refuse, hold or return any shipment if it is likely to cause damage or delay to other shipments, equipment, or personnel, or if it is prohibited by law.

8.3 Delivery Timeframes

Standard delivery timeframes to GCC countries are 2-6 business days from the date of dispatch. Please note:

Business days exclude Fridays, Saturdays, and public holidays in Saudi Arabia and the destination country.

Delivery times are estimates and may vary due to customs clearance, local courier schedules, or unforeseen circumstances.

Remote or hard-to-reach areas may require additional delivery time.

A maximum of three (3) delivery attempts will be made. If delivery fails after all attempts, the shipment will be classified as undeliverable and returned to our facility.

8.4 Delivery Fees

Shipping fees are calculated based on package weight and destination country. All prices include fuel surcharge (12%) and postal fees, Dimensional weight may apply for lightweight bulky shipments. Detailed shipping rates are available at checkout and may be subject to change with prior notice.

• No minimum order value is required to benefit from our delivery service.
• Delivery fee of 25 SAR including VAT will be applied for orders less than 499 SAR for KSA.
• Delivery fee of 74 SAR including VAT will be applied for orders less than 499 SAR for GCC countries.
• Free shipping for orders with 499 SAR or above.
• Certain Global items will require an additional fee of SAR17.25 including VAT for import processing and handling as per ZATCA
• We deliver Sunday – Thursday from 8am till 12am.

8.5 Proof of Delivery

Upon successful delivery, a proof of delivery signature will be obtained from the recipient. The courier may collect a signature from anyone at the delivery address or leave the package in a designated safe place if authorized by the recipient. Once delivery is confirmed, we are released from any liability regarding the shipment. You can track your order in real-time through the tracking number provided in your shipping confirmation email.

8.6 Failed Deliveries

If delivery is unsuccessful after three (3) delivery attempts due to incorrect address, recipient unavailable, or other issues beyond our control, the shipment will be classified as undeliverable and returned to our facility. Return logistics will be charged at the same rate as the original delivery. The customer will be notified via SMS and email at each delivery attempt.

8.7 Import Duties & Customs (GCC Cross-Border)

For international shipments to GCC countries, customs clearance and import duties (if applicable) are the responsibility of the recipient and will be charged separately based on destination country regulations. Some items may require special permits or additional documentation. Delays may occur during customs processing, which are outside our control and not included in standard delivery timeframes.

9. Returns, Refunds & Cancellations

9.1 Return Eligibility

We offer a 14-day return window for most products from the date of delivery, subject to the following conditions:

Items must be unused, and in their original condition with all tags and packaging intact.

Products must not show any signs of wear, damage, or alterations.

Original proof of purchase (order confirmation or receipt) must be provided.

For hygiene and safety reasons, certain items such as cosmetics, personal care products, are not eligible for return unless defective or damaged upon arrival.

9.2 Eligible Refund Scenarios

You may request a refund in the following situations:

You received a defective, damaged, or incorrect product.

The product does not match the description on our website.

Your order was lost or significantly delayed (more than 10 business days beyond the estimated delivery window).

You changed your mind within the 14-day return period and the item meets eligibility criteria.

The product arrived incomplete (missing accessories, components, or parts as advertised).

9.3 How to Submit a Return

To initiate a return or refund request:

Contact our customer support team via email or phone with your order number, reason for return, and supporting photos (if applicable).

Once approved, we will provide you with return shipping instructions and a return authorization number.

Package the item securely in its original packaging and include all accessories, manuals, and documentation.

Ship the item using the provided return label or arrange pickup through our logistics partner (return shipping costs may apply based on the reason for return).

9.4 Refund Processing

Once we receive and inspect your returned item, we will process your refund within 7-10 business days. Refunds will be issued to the original payment method used during checkout. Please note that it may take an additional 5-7 business days for the refund to reflect in your account, depending on your bank or payment provider. If the return is due to our error (defective, damaged, or incorrect product), we will cover the return shipping costs. For change-of-mind returns, the customer is responsible for return shipping fees.

9.5 Cancellation Policy

Order cancellations are accepted under the following conditions:

• Orders can be cancelled free of charge before shipment is dispatched from our facility.
• Once an order has been shipped, it cannot be cancelled but can be returned following our standard return policy.
• To request a cancellation, contact our customer service team as soon as possible with your order number.
• If payment has been processed for a cancelled order, a full refund will be issued within 3-5 business days.

We reserve the right to cancel orders in cases of suspected fraud, pricing errors, stock unavailability, or if the delivery address is unreachable or deemed unsafe for delivery. In such cases, customers will be notified immediately and receive a full refund within 5-7 business days.

9.6 Non-Refundable Items

The following items are not eligible for return or refund:

• Products with broken seals (for hygiene and safety reasons).
• Personalized or custom-made items (unless defective or damaged upon arrival).
• Digital products or downloadable content, Gift cards or promotional vouchers.

10. User Accounts

10.1 Account Responsibility

You may place orders on our Platform either by creating an account or as a guest without registration.

Guest Checkout: If you choose to order without an account, you will be required to provide accurate contact, delivery, and payment information at the time of each order. Guest orders are subject to the same Terms as account-based orders. Please note that certain features  such as order history, saved addresses, faster checkout, and loyalty benefits (if applicable)  may only be available to registered account holders.

Account Orders: If you choose to create an account, you are solely responsible for maintaining the strict confidentiality of your account login credentials (username and password) and for all activities, orders, and transactions that occur under your account, whether or not authorised by you.

You agree to: (a) provide accurate and truthful registration or guest checkout information; (b) update your information promptly if it changes; and (c) notify us immediately at www.bullfroggcc.com if you become aware of any unauthorised access to or use of your account.

Faiialriyadh shall not be liable for any loss or damage arising from your failure to comply with these account security obligations, or from inaccurate information provided during guest checkout. We reserve the right to suspend or terminate accounts, or to refuse or cancel orders (including guest orders), used for fraudulent activity or in violation of these Terms.

11. Intellectual Property

All content on the Platform, including text, images, graphics, logos, product names, and trademarks, is the exclusive property of Bullfrog, Faiialriyadh, or their respective licensors and is protected under applicable intellectual property laws in Saudi Arabia and internationally.

You may not copy, reproduce, distribute, modify, or create derivative works of any Platform content without our express written permission.

12. Prohibited Conduct

When using our Platform, you agree not to:

• Use the Platform for any unlawful, fraudulent, or harmful purpose.
• Impersonate any person or entity or misrepresent your affiliation.
• Attempt to gain unauthorised access to any part of the Platform or its systems.
• Upload or transmit any malware, viruses, or harmful code.
• Engage in price manipulation, fake reviews, or other deceptive practices.
• Violate any applicable local, national, or international law or regulation.

13. Privacy & Data Protection

13.1 Data Collection & Use

Your privacy is important to us. By using our Platform, you consent to the collection and use of your personal data in accordance with our Privacy Policy, available at www.bullfroggcc.com. We collect only the personal data necessary to process your orders, manage your account, and communicate with you.

13.2 No Sale or Sharing of Personal Data

Cardholder details and all personally identifiable information (PII) collected through the Platform will not be stored beyond what is required for transaction processing, and will not be sold, shared, rented, leased, or otherwise disclosed to any third parties, except as strictly required to fulfil your order (e.g. to our delivery partner or payment processor) or as required by applicable law.

13.3 Card Data Handling

Faiialriyadh will not pass your card details to any third party other than our authorised, PCI-DSS compliant payment processing partners for the sole purpose of completing your transaction. We do not retain or have access to your full card number or security code on our systems.

13.4 Security Measures

We implement reasonable hardware and software security measures to protect your personal data and payment information from unauthorised access, disclosure, or loss. However, no method of transmission over the internet or electronic storage is completely secure. We are committed to complying with the Personal Data Protection Law (PDPL) of Saudi Arabia (Royal Decree No. M/19 of 2021) and applicable data protection regulations across the GCC.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Bullfrog, Faiialriyadh, and their respective owners, employees, and affiliates shall not be liable for:

• Any indirect, incidental, special, or consequential damages arising from your use of the Platform.
• Losses resulting from unauthorised access to your account due to your failure to maintain account security.
• Delays or failures in delivery caused by third-party logistics providers, customs authorities, or force majeure events.
• Any allergic reactions or adverse effects from cosmetics products. Customers are responsible for reviewing product ingredients before purchase.

Our total liability to you for any claim arising from your use of the Platform shall not exceed the amount paid by you for the order giving rise to the claim.

15. Governing Law & Dispute Resolution

The Kingdom of Saudi Arabia is our country of domicile. These Terms shall be governed by and construed exclusively in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts in the Kingdom of Saudi Arabia.
